By accessing or using our Service, you agree to be bound by these Terms. If you do not agree with these Terms, you should not access or use the Service.

User Obligations
You agree to use the Service only for lawful purposes and in accordance with these Terms.
You agree not to engage in any activity that interferes with or disrupts the Service or in any manner that could disable, overburden, damage, or impair Service or interfere with any other party’s use of Service, including their ability to engage in real time activities through Service.
You agree not to use the Service in any way that violates any applicable national or international law or regulation.

You agree not to attempt to gain unauthorized access to, interfere with, damage, or disrupt any parts of Service, the server on which Service is stored, or any server, computer, or database connected to Service.
You agree not to attack Service via a denial-of-service attack or a distributed denial-of-service attack.
You agree not to take any action that may damage or falsify Company rating.
Account Registration
Some parts of the Service may require creating an account. You must provide accurate and complete information and keep your account information updated.
You are responsible for maintaining the confidentiality of your account password and for any activities that occur under your account.
Content
We do not claim ownership of any content that you upload, submit or post on or through the Service. However, by submitting content, you grant us a worldwide, royalty-free license to use, display, and distribute said content.
You represent and warrant that you own or have the necessary rights to use and authorize the use of your content as described herein.
Intellectual Property
The Service and its original content, features, and functionality are and will remain the exclusive property of HiringCloud and its licensors.
Payment Terms
Some features of HiringCloud may require payment of fees. By signing up for these features, you agree to pay us the applicable fees and any taxes. All payments are non-refundable.
Payment Methods: You can pay for the services using the payment methods available on our website. You agree to abide by the relevant terms and conditions or policies applicable to the payment method you use.
Recurring Billing: Some of the services may consist of an initial period, for which there is a one-time charge, followed by recurring period charges. You acknowledge that such services have an initial and recurring payment feature and you accept responsibility for all recurring charges.
Price Changes: We reserve the right to adjust pricing for our services or any components thereof in any manner and at any time.
Refund Policy: Unless explicitly stated otherwise, all payments made to HiringCloud are non-refundable.
Late Payments: If there is a failed payment for any reason, we may suspend or terminate your access to the paid features of the service.
Billing Information: You are responsible for keeping your billing information up to date and must notify us of any changes in your billing information.
We may employ the use of third party services for the purpose of facilitating payment and the completion of Purchases. By submitting your information, you grant us the right to provide the information to these third parties.
Free Trial
HiringCloud, Inc. may, at its sole discretion, offer a Subscription with a free trial for a limited period of time (“Free Trial”). You may be required to enter your billing information in order to sign up for a Free Trial. If you do enter your billing information when signing up for Free Trial, you will not be charged by HiringCloud, Inc. until Free Trial has expired. On the last day of the Free Trial period, unless you cancel your Subscription, you will be automatically charged the applicable Subscription fees for the type of Subscription you have selected.
Fee Changes
HiringCloud, Inc., in its sole discretion and at any time, may modify Subscription fees for the Subscriptions. Any Subscription fee change will become effective at the end of the then-current Billing Cycle.
HiringCloud, Inc. will provide you with reasonable prior notice of any change in Subscription fees to give you an opportunity to terminate your Subscription before such change becomes effective.
Your continued use of the Service after Subscription fee change comes into effect constitutes your agreement to pay the modified Subscription fee amount.
Third-Party Analytics
Use of Third-Party Analytics: We use third-party analytics services (“Analytics Services”) to help analyze how users use our Service. The information generated by the cookies or other technologies about your use of our Service (the “Analytics Information”) is transmitted to the Analytics Services. The Analytics Services use Analytics Information to compile reports on user activity. The Analytics Services may also transfer the Analytics Information to third parties where required to do so by law, or where such third parties process Analytics Information on their behalf.
Data Collection: The third-party analytics services may collect information about your use of other websites, apps, and online resources. You can learn about the practices of these third-party analytics services and, in some cases, opt-out of their data collection practices by visiting their websites.
Purpose: We use the Analytics Information to evaluate the use of our Service, compile reports on activity for us, and provide other related services. This helps us understand and improve the user experience and the quality of our Service.

Governing Law & Jurisdiction
These Terms shall be governed by and construed in accordance with the laws of Delaware. Any disputes arising under or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts of Delaware.

By creating an account on HiringCloud, you agree to subscribe to newsletters, marketing or promotional materials and other information we may send. However, you may opt out of receiving any, or all, of these communications from us by following the unsubscribe link or by emailing at.
Contests, Sweepstakes and Promotions
Any contests, sweepstakes or other promotions (collectively, “Promotions”) made available through HiringCloud may be governed by rules that are separate from these Terms of Service. If you participate in any Promotions, please review the applicable rules. If the rules for a Promotion conflict with these Terms of Service, Promotion rules will apply.
Error Reporting and Feedback
You may provide us directly at [email protected] with information and feedback concerning errors, suggestions for improvements, ideas, problems, complaints, and other matters related to our Service (“Feedback”). You acknowledge and agree that:
you shall not retain, acquire or assert any intellectual property right or other right, title, or interest in or to the Feedback;
Company may have developed ideas similar to the Feedback;
Feedback does not contain confidential information or proprietary information from you or any third party;
Company is not under any obligation of confidentiality with respect to the Feedback.
In the event the transfer of the ownership to the Feedback is not possible due to applicable mandatory laws, you grant Company and its affiliates an exclusive, transferable, irrevocable, free-of-charge, sub-licensable, unlimited, and perpetual right to use (including copy, modify, create derivative works, publish, distribute and commercialize) Feedback in any manner and for any purpose.
Termination
We reserve the right to terminate or suspend your access to the Service, without prior notice or liability, for any reason whatsoever, including but not limited to a breach of the Terms.

We reserve the right to amend or replace these Terms at any time. If a revision is material, we will make reasonable efforts to provide at least 30 days notice prior to any new terms taking effect.
